REAL ESTATE BUYER BROKER SERVICE AGREEMENT

The Broker, John McFarland d.b.a. BuyerSide Realty, agrees to deliver to the Buyer (who have completed the information listed below) complete listing information including property addresses, directions, links to maps, and available multiple photos that meet the Buyer's requirements and are listed for sale in the Prescott Area Association of Realtor's Multiple Listing Service (PAAR MLS). For the purposes of this Agreement, Delivered Property shall be defined as any real property that is listed for sale in PAAR MLS whose listing information has been delivered to the Buyer by the Broker.

In consideration of the Broker providing this service and the other services listed herein, the Buyer agrees to work exclusively with the Broker regarding any interest in acquiring Delivered Property and to make no independent contact with the seller or the seller’s broker of any Delivered Property without the Broker's consent. The terms of this Agreement shall not apply to the Buyer's interest in acquiring a property whose listing information has not been delivered to the Buyer by the Broker.

DURATION: This Agreement shall commence on July 2, 2009 and expire on October 31, 2009 excepting that either party may cancel this Agreement at any time by delivering a written notice to cancel to the other party.

SERVICES OFFERED BY THE BROKER TO THE BUYER: (1) Search the PAAR MLS for properties that meet the Buyer's requirements and to promptly deliver complete listing information for those properties to the Buyer. (2) Respond to the Buyer's requests for additional property information. (3) Schedule and attend all showing appointments. (4) Prepare, deliver, and negotiate on behalf of the Buyer contracts to purchase. (5) Schedule and attend all home inspections. (6) Provide assistance to the Buyer to close the purchase transaction. (7) Represent the Buyer's best interests within the limits of state and federal law.

COMPENSATION: There is no charge to the Buyer for services offered by the Broker. In the event that the Buyer purchases a Delivered Property, the Buyer authorizes the escrow agent at the time of closing to pay the Broker from the seller’s proceeds that portion of the real estate commission which has been offered to the cooperating broker by the listing broker as payment in full for services rendered.

SERVICES NOT RENDERED: The Buyer acknowledges that the Broker is being retained solely as a real estate broker and is not an attorney, appraiser, tax advisor, lender, surveyor, engineer, home inspector or other professional service provider. The Buyer is advised to seek the advise of professional service providers on matters not involving real estate brokerage.

OTHER BUYERS: The terms of this Agreement does not exclude the Broker from entering into similar agreements with other buyers. Other buyer clients of the Broker may be interested in the same properties as the Buyer, and it is agreed that the Broker may represent those buyers whether such representations may arise prior to, during, or after the end of this Agreement. In such a situation, the Broker will not disclose to either buyer the terms of the other's offer or intentions.

EQUAL OPPORTUNITY: Services will be made available to the Buyer without regard to race, color, religion, sex, handicap, familial status, national origin or other classes protected by the laws of the United States, the State of Arizona and applicable local jurisdictions.

ARIZONA LAW: (A) No criminal, civil or administrative action may be brought against a transferor or lessor of real property or a licensee for failing to disclose that the property being transferred or leased is or has been: (1) The site of a natural death, suicide or homicide or any other crime classified as a felony; (2) Owned or occupied by a person exposed to the human immunodeficiency virus or diagnosed as having the acquired immune deficiency syndrome or any other disease that is not known to be transmitted through common occupancy of real estate; (3) Located in the vicinity of a sex offender. (B) Failing to disclose any fact or suspicion as set forth in subsection (A) shall not be grounds for termination or rescission of any transaction in which real property has been or will be transferred or leased. A licensee participating in a real estate transaction shall disclose in writing to all other Parties any information which the licensee possesses that materially and adversely affects the consideration to be paid by any party to the transaction, including: (1) Any information that the seller or lessor is or may be unable to perform; (2) Any information that the buyer or lessee is, or may be, unable to perform; (3) Any material defect existing in the property being transferred; and (4) The possible existence of a lien or encumbrance on the property being transferred.

This Agreement and any exhibits or addenda entered into by the Parties constitute the entire Agreement between the Parties. Any modifications to this Agreement must be made in writing and signed by the Parties. No Representation is made as to the legal validity or adequacy of any provision or the tax consequences thereof, if you desire legal or tax advice, consult your attorney or tax advisor. The Buyer has reviewed the "Agency Disclosure and Election" Form and has elected to have the Broker "represent the Buyer as Buyer's Broker".
The Buyer(s) by completing and delivering the following information to the Broker shall be jointly and severally liable under the terms of this REAL ESTATE BUYER BROKER SERVICE AGREEMENT.
